No statement in this package confirms that any insurance coverage is currently bound or in force, and no statement here represents outside legal, tax, accounting, broker, insurer, lender, regulator, or other professional approval. Each coverage described below is a target that becomes effective only when an insurer issues a binder, policy, or certificate of insurance, and is described as in force only when MIQ provides a then-current certificate of insurance.
This Insurance Requirements Package is prepared by Mechanus IQ Ltd. ("MIQ" or "Provider"). It states the insurance coverage MIQ intends to carry for its forensic operational intelligence services (the "Services"), the evidence of insurance MIQ will provide on request, and the insurance evidence MIQ may request from a client ("Client") where the Client carries coverage relevant to the engagement. It is intended to be shared with a Client, a Client's broker, or a Client's risk reviewer.
Capitalized terms used but not defined in this package, including Client, Client Data, Services, and Parties, have the meanings given in the applicable Master Services Agreement or other written agreement between MIQ and the Client. If no such agreement is in place, those terms carry their ordinary business meaning.
1. Purpose And Scope
1.1 Purpose. This package describes MIQ's intended insurance program for the Services, the conditions under which a coverage becomes effective, and the certificate-of-insurance process the Parties may use to exchange evidence of insurance.
1.2 Relationship to the service agreements. Insurance obligations between MIQ and a Client are set by the applicable Master Services Agreement, Statement of Work, pilot agreement, diagnostic engagement letter, insurance schedule, certificate of insurance, or later written insurance confirmation. Where the applicable agreement attaches an insurance schedule, that schedule controls the specific coverage, limits, endorsements, and timing for that engagement. Where this package is attached to or referenced by a Master Services Agreement as its insurance schedule, this package or a more specific schedule supplies the engagement's insurance terms, and the agreement controls if there is a conflict. This package does not by itself create a coverage obligation owed to a Client.
1.3 No advice. MIQ does not provide insurance, legal, tax, accounting, or risk-management professional services through this package. A Client should obtain its own broker and professional review of its insurance needs.
1.4 No coverage confirmation. Nothing in this package confirms that a policy exists, that a coverage is bound, that a limit is available, that an endorsement has been issued, or that an insurer or broker has reviewed or approved any statement here. Coverage is confirmed only by a then-current certificate of insurance or a copy of the issued policy.
2. How To Read The Coverage Targets
2.1 Target, not confirmation. Each published coverage in Section 3 and Section 4 states a target coverage type and a target minimum limit. A target is the coverage MIQ intends to place with a licensed insurer. A target is not a representation that the coverage is bound or that the stated limit has been issued.
2.2 When a target becomes effective. A coverage target becomes an effective coverage only when an insurer issues a binder, policy, or certificate of insurance for it. Until then, the coverage is described as planned or pending placement.
2.3 Limits subject to underwriting. Stated minimum limits are placement targets. Actual limits, sublimits, retentions, deductibles, exclusions, and endorsements are determined by the insurer through underwriting and are confirmed only by the issued policy or certificate.
2.4 Evidence controls. Where a Client needs to confirm a coverage, the controlling evidence is a then-current certificate of insurance issued by MIQ's insurer or broker, or a copy of the issued policy, not this package.
3. Coverage MIQ Intends To Carry Before Accepting Client Data
The following coverages are the core of MIQ's intended insurance program. MIQ intends to place each one before accepting Client Data under a paid engagement. None is represented as currently bound.
3.1 Errors And Omissions / Professional Liability (Including Technology Errors And Omissions)

Policy-language objective. Because anomaly detection and exception identification are the ordinary subject of MIQ's Services, MIQ intends to seek policy wording that does not treat MIQ's ordinary, in-the-course-of-service awareness of operational anomaly signals as a pre-known circumstance that defeats coverage. Whether an insurer will accept that wording is a matter for the insurer and broker to confirm, and is not confirmed here.

Policy-language objective. MIQ intends to seek cyber wording that responds to privacy-regulator response costs associated with a reportable breach, in addition to first-party breach-response costs. Whether a given policy includes that component is determined by the issued policy and is not confirmed here.

4. Coverage Under Evaluation
The following coverages are under evaluation and may be added as MIQ's engagements, headcount, and obligations grow. None is represented as currently bound, and the structure of each is subject to broker and insurer determination.
4.1 Intellectual-Property Defence Coverage

5. Evidence Of Insurance
5.1 Certificate on request. Where an engagement requires it, and after the relevant coverage is in force, MIQ will provide a then-current certificate of insurance evidencing the coverage and limits required by the applicable insurance schedule or agreement.
5.2 Certificate is the controlling evidence. The certificate of insurance, or a copy of the issued policy, is the controlling evidence that a coverage is in force. This package and any coverage target in it are not evidence that a coverage is in force.
5.3 Additional-insured and notice requests. A Client may request additional-insured status, a waiver of subrogation, a specific notice-of-cancellation period, or a specific limit in the applicable agreement or insurance schedule. MIQ does not promise that any such status, waiver, endorsement, period, or limit will be available or issued. Any such term applies only if and to the extent the issued policy or an endorsement actually provides it, and only as required by the applicable signed agreement or insurance schedule. It is confirmed only by an endorsement or certificate reflecting it.
5.4 No reliance on planned coverage. A Client should not rely on a planned or pending coverage. A Client should treat a coverage as available only when MIQ provides a certificate of insurance evidencing it.
6. Insurance Evidence MIQ May Request From A Client
6.1 When MIQ requests Client evidence. Where a Client carries insurance relevant to the engagement, or where the applicable agreement provides for it, MIQ may request that the Client provide a then-current certificate of insurance evidencing the Client's relevant coverage.
6.2 Request language. A Client may use the following request language when asking MIQ for evidence of insurance, and MIQ may use comparable language when requesting evidence from a Client:
Please provide a current certificate of insurance evidencing the coverage and limits required under our agreement, including the coverage type, the per-claim or per-occurrence and aggregate limits, the policy period, the insurer, and any additional-insured, waiver-of-subrogation, or notice-of-cancellation terms required by the agreement. We rely on the certificate, not on any planned or pending coverage.
6.3 No PII in evidence exchange. Certificates and insurance evidence exchanged under this package must not contain customer personal information or other personal information about an identifiable individual. The Parties will limit any insurance evidence to coverage and policy information.
7. Coverage Basis And Placement Terms
7.1 Coverage basis. This package states the coverage objectives MIQ intends to place with one or more licensed Canadian insurers through a broker. Whether each objective is met is determined by the issued policy and the insurer, not by this package.
7.2 Placement details. The specific insurers, brokers, premiums, retentions, deductibles, exclusions, endorsements, effective dates, and final limits are set through broker placement and underwriting. Until placement, every coverage in this package is a target.
7.3 Provincial and engagement-specific requirements. Specific provincial requirements and Client-specific or engagement-specific insurance requirements are addressed in the applicable agreement or insurance schedule, not in this package.
8. Use And Coverage Confirmation
This package is a statement of MIQ's intended insurance program and the certificate process the Parties may use. It is not a representation that any coverage is currently bound or in force. Confirmation that a coverage is in force comes only from a certificate of insurance or a copy of an issued policy. No statement in this package represents approval by any insurer, broker, or other professional unless a separate approval record says so.
