MIQ Portal Access Terms

These terms govern access to the Mechanus IQ client portal at app.mechanusiq.com and any related authenticated Mechanus IQ surface (together, the "Portal"). They are deliberately narrow: they cover Portal access and use, and nothing else. The public website at mechanusiq.com is governed by the separate Website Terms of Use at mechanusiq.com/terms/.

1. Who we are

The Portal is operated by Mechanus IQ Ltd. ("MIQ"), a corporation incorporated under the Canada Business Corporations Act, federal corporation number 1788703-5, with its registered office in British Columbia. Questions about these terms go to legal@mechanusiq.com.

2. Order of precedence

2.1 If the dealership or business you represent (the "Client") has executed a Mechanus IQ Master Services Agreement, Data Processing Agreement, Statement of Work, Source Access Request Agreement (also called the Source Access Agreement), Pilot Agreement, Diagnostic Engagement Letter, or any other written agreement with MIQ, including its schedules, addenda, order forms, and product schedules (each an "Executed Agreement"), each Executed Agreement controls over these terms in any conflict, without exception.

2.2 These terms create no service entitlement, no data-processing authority, and no data rights of any kind. In particular, nothing in these terms, and no act of creating an account or using the Portal, grants MIQ any right to use, aggregate, benchmark, analyze across clients, or learn from Client data. Any such authority exists only where, and only to the extent, an Executed Agreement expressly creates it.

3. Accounts

3.1 Portal credentials are issued to named individuals and are not shareable. You are responsible for activity under your credentials and must notify MIQ promptly at legal@mechanusiq.com if you believe they are compromised.

3.2 MIQ may suspend or restrict Portal access where reasonably necessary to protect the Portal, its data, or other clients, and will restore access when MIQ reasonably determines the risk is resolved, unless access has ended under Section 7 or an Executed Agreement provides otherwise.

4. Acceptable use

You must not: (a) access or attempt to access another client's data or any non-authorized area of the Portal; (b) probe, scan, disrupt, or overload the Portal; (c) scrape or bulk-extract Portal content outside features MIQ provides for that purpose; (d) resell or provide Portal access to any third party; or (e) submit customer or employee personal information, full or partial vehicle identification numbers, or credentials through any Portal surface other than an intake path an Executed Agreement authorizes. MIQ's intake surfaces reject detectable personal information and fail closed.

5. Service provided as described

5.1 The Portal is provided on an as-available basis for Portal access purposes. Security and data-residency commitments that apply to Client data are stated in the Executed Agreements; descriptions of MIQ controls describe how the service is built and operated, and are not an absolute warranty of any security outcome.

5.2 Nothing in the Portal, and no MIQ output presented through it, constitutes legal, tax, accounting, audit, insurance, investment, employment, lending, or compliance-certification advice. Anomaly and finding outputs identify operational patterns for the Client's own review; they do not and cannot establish fraud, illegality, intent, dishonesty, or personal culpability of any person.

6. Intellectual property

MIQ and its licensors retain all rights in the Portal and the Mechanus IQ service. Client materials remain the Client's. These terms grant MIQ no licence over Client materials, and grant you only the limited right to access and use the Portal for the Client's authorized purposes while access remains active.

7. Ending access

MIQ may end Portal access for an account when the related engagement ends, when an Executed Agreement requires it, or on material breach of these terms. Ending Portal access does not affect either party's rights or obligations under any Executed Agreement, including its offboarding and data-return provisions.

8. Governing law

For a Client with an executed Master Services Agreement, that agreement's governing-law and dispute-resolution provisions apply to any dispute arising from Portal access; where the Client has Executed Agreements but no Master Services Agreement, the governing-law provisions of the Executed Agreement most closely connected to the dispute apply. In every other case, these terms are governed by the laws of British Columbia and the federal laws of Canada applicable in it, and the courts of British Columbia have exclusive jurisdiction.

9. Changes

MIQ may republish these terms with a new version date at mechanusiq.com/legal/portal-terms/. The published version current at the time of your access governs that access. Material changes affecting a Client with an Executed Agreement never reduce that agreement's protections; Section 2 always controls.
