Mechanus IQ terms of use

These Terms of Use govern access to and use of the public website operated by Mechanus IQ Ltd. at mechanusiq.com and the informational pages, forms, documents, and resources made available through it.

These terms do not govern paid services, pilots, diagnostics, data processing, consulting work, or any other commercial engagement. Those matters are governed only by a separate written agreement signed by authorized representatives of Mechanus IQ Ltd. and the client organization, which may include a master services agreement, statement of work, data-processing terms, confidentiality terms, and security exhibits.

By accessing the Site, you agree to these terms. If you access the Site on behalf of an organization, you represent that you are authorized to do so. If you do not agree, do not use the Site.

You may access the public Site for legitimate business, research, diligence, vendor-review, press, or personal reading purposes. You may share ordinary links to public pages. You may quote limited excerpts with clear attribution to Mechanus IQ Ltd. and a stable link to the source page.

Search engines and ordinary feed readers may index public pages at a courteous rate if they comply with robots.txt, ai.txt, applicable rate limits, and all other technical access controls.

All rights not expressly granted are reserved. No licence is granted to use Mechanus IQ Content in a competing product, model, dataset, report library, retrieval system, or automated decision system.

The Site may include bot-trap paths, robots directives, AI-use directives, rate limits, edge security checks, and other controls intended to distinguish ordinary human browsing and legitimate search indexing from automated collection, evasion, impersonation, or abuse.

Requests to trap paths, attempts to bypass access controls, spoofed user agents, abusive request patterns, or attempts to coach automated systems around controls may be logged and treated as evidence of unauthorized or non-permitted access. Mechanus IQ may block, rate-limit, challenge, investigate, preserve evidence, or pursue remedies available at law or equity.

Machine-readable files such as robots.txt and ai.txt supplement these terms. They do not narrow the restrictions in these terms unless Mechanus IQ expressly states otherwise in writing.

Mechanus IQ Ltd. owns or controls the Site, Content, page layouts, written materials, report structures, detection-vector descriptions, gate descriptions, business-method expression, graphics, and the Mechanus IQ name, logos, and marks. The Mechanus IQ name, the M iris mark, and related identifiers are asserted as Canadian common-law marks unless and until replaced by registered marks.

Client data, client exports, and client operational records remain the property of the client organization. No ownership transfer is created by these terms. Any licence to process client data must be stated in a signed client agreement.

Public legal, regulatory, and government materials referenced on the Site remain subject to the rights, licences, and official versions of the issuing authority. If there is any inconsistency between a public authority source and Mechanus IQ commentary, the public authority source controls.

You are responsible for the accuracy, lawfulness, and authority of anything you submit through the Site. You must not submit information that you are not authorized to disclose.

A Submission does not create a client relationship, fiduciary relationship, solicitor-client relationship, partnership, joint venture, exclusivity obligation, confidentiality obligation beyond any express written confidentiality terms, or obligation to provide services.

If you send a Submission, you grant Mechanus IQ Ltd. a limited licence to use it to review, route, respond to, preserve, and administer the request, and to maintain reasonable business, security, and legal records related to it. Submissions that become part of a paid engagement are governed by the signed client agreement.

Mechanus IQ's privacy practices are described in the Privacy Policy at /privacy.

The public Site does not use third-party analytics, behavioural advertising, session recording, heatmapping, or tracking cookies. Security, hosting, form handling, and ordinary business-contact processing are addressed in the Privacy Policy.

Content on the Site is provided for general business information, operational diligence, and product-description purposes. It is not legal, tax, accounting, insurance, investment, financing, regulatory, or professional advice.

Regulatory commentary, dealership-risk commentary, examples, benchmarks, leakage estimates, and workflow descriptions must be evaluated against the facts of the specific dealership and by qualified professionals where required. You must not rely on Site Content as a substitute for professional advice.

The Site and Content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Mechanus IQ Ltd. disclaims all warranties, conditions, representations, and guarantees, whether express, implied, statutory, or otherwise, including accuracy, completeness, currency, merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

Operational savings, leakage amounts, recovery ranges, risk scores, dashboards, examples, screenshots, and product descriptions are illustrative unless expressly stated otherwise in a signed client agreement. They are not guarantees of outcome.

To the maximum extent permitted by law, Mechanus IQ Ltd. will not be liable for indirect, incidental, special, consequential, aggravated, punitive, or exemplary damages, or for loss of profit, revenue, business opportunity, goodwill, data, or business interruption arising from or related to the Site or Content.

To the maximum extent permitted by law, Mechanus IQ Ltd.'s aggregate liability for claims arising from or related to the Site or Content is limited to the greater of CA$100 and the amount you paid directly to Mechanus IQ Ltd. for access to the public Site in the 12 months before the event giving rise to the claim.

Nothing in these terms excludes liability that cannot be excluded under applicable law.

You will defend, indemnify, and hold harmless Mechanus IQ Ltd. and its directors, officers, employees, contractors, and representatives from claims, losses, liabilities, damages, costs, and reasonable legal fees arising from your breach of these terms, your unlawful use of the Site, your infringement of third-party rights, your unauthorized Submission, or your misuse of Content.

Mechanus IQ may assume control of the defence of any matter subject to indemnity. You must cooperate reasonably and must not settle any matter in a way that imposes an admission, obligation, or liability on Mechanus IQ without Mechanus IQ's prior written consent.

Mechanus IQ may suspend, restrict, block, rate-limit, or terminate access to the Site where it reasonably believes that use violates these terms, creates security risk, infringes rights, burdens infrastructure, or exposes Mechanus IQ, its clients, or others to legal or operational risk.

Mechanus IQ may preserve logs, request metadata, Submissions, and related records where reasonably necessary for security, legal compliance, dispute resolution, evidence preservation, or enforcement.

The Site may link to websites, publications, statutes, regulations, regulator guidance, vendors, and third-party services. Links are provided for reference only. Mechanus IQ does not control third-party sites and is not responsible for their content, security, availability, or practices.

A link does not imply endorsement unless Mechanus IQ expressly says so in writing.

Mechanus IQ may update these terms by posting a revised version with a new effective date. Changes apply prospectively from the effective date shown. Continued use of the Site after the effective date means you accept the revised terms.

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws principles.

Subject to any mandatory law that requires otherwise, disputes arising from or related to the Site, Content, or these terms must be brought in the courts of competent jurisdiction sitting in Vancouver, British Columbia, Canada. You and Mechanus IQ Ltd. each submit to the jurisdiction of those courts.

If any provision is found invalid or unenforceable, the remaining provisions continue in effect. Mechanus IQ's failure to enforce a provision is not a waiver. You may not assign these terms without Mechanus IQ's prior written consent. Mechanus IQ may assign these terms as part of a merger, reorganization, sale of assets, financing, or corporate transaction.

These terms are the entire agreement between you and Mechanus IQ Ltd. regarding use of the public Site. They do not replace any signed agreement between Mechanus IQ Ltd. and a client organization.
